1. Acceptance of these terms

By creating an account or using STAFFED (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. If you use the Service on behalf of a company, you represent that you are authorized to bind that company to these terms.

2. The service

STAFFED is a platform that helps event companies manage leads, bookings, contracts, payments, staffing, scheduling, and communication. We provide the software; the events, services, and any agreements between you, your clients, your staff, and your vendors are yours.

3. Accounts and eligibility

You must be at least 18 years old and provide accurate account information. You are responsible for activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.

4. Roles: companies, staff, and vendors

Company accounts manage events and invite staff and vendors. Staff and vendor accounts access only the information shared with them for events they are assigned to.

STAFFED is not the employer of your staff and is not a party to the agreements between companies, staff, vendors, and clients. You are responsible for your own employment, contractor, tax, insurance, and licensing obligations.

5. Bookings, payments, and fees

Payments made through the Service are processed by our third-party payment processor (Stripe). By making or accepting payments, you agree to the processor's terms. We do not store full card numbers.

Contract amounts, retainers, payment schedules, and refunds are set by the company, not by STAFFED. Disputes about a specific event's payment are between the company and its client.

6. Cancellations and refunds

Cancellation and refund terms for any event are defined by the company's own contract with its client. STAFFED does not set or guarantee refunds for event services booked through the platform.

7. Acceptable use

You agree not to misuse the Service, including: violating any law; uploading harmful or infringing content; attempting to access data you are not authorized to see; interfering with the platform's operation; or using the Service to harass others. We may suspend accounts that violate these terms.

8. Your content

You retain ownership of the content you upload (logos, documents, event details, messages). You grant STAFFED a limited license to host and display that content as needed to operate the Service for you.

9. Intellectual property

The Service, including its software, design, and branding, is owned by STAFFED and its licensors. These terms do not grant you any right to our trademarks or software beyond using the Service as intended.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement. You use the Service at your own risk.

11. Limitation of liability

To the maximum extent permitted by law, STAFFED will not be liable for indirect, incidental, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these terms or to protect the Service and its users. Certain provisions (such as intellectual property, disclaimers, and limitation of liability) survive termination.

13. Changes to these terms

We may update these terms from time to time. We will update the "last updated" date and, for material changes, provide notice. Continued use after changes means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-law rules.
